Business Registration Dossier
The process of preparing a dossier to establish a company will depend on the specific type of business entity, as each type requires unique and specialized documents. However, Quang Minh Law Firm has summarized the types of dossiers you need to prepare when forming a business, so that you can potentially complete the formation procedures yourself instead of incurring additional consulting fees.
The company formation dossier must comply with the regulations in Decree No. 01/2021/NĐ-CP and Circular No. 01/2021/TT-BKHĐT, including the following documents:
Dossier for Single-Member Limited Liability Company (LLC):
- Draft company charter.
- Application for enterprise registration.
- Valid copy of personal identification documents: Citizen ID card/ID card/Passport.
- Power of attorney for the person performing the dossier procedures (if any).
- Attached documents: Citizen ID card/ID card/Passport of the legal representative and the person authorized to perform the formation procedures.
Dossier for Multi-Member Limited Liability Company (2 members or more):
- Certified copies of Citizen ID cards/ID cards or Passports (not older than 3 months).
- Application for enterprise registration with at least 2 members.
- Company charter with at least 2 members.
- List of members participating in capital contribution.
Dossier for Joint Stock Company:
- Application for enterprise registration (using Appendix I-4 of Circular 01/2021/TT-BKHĐT).
- Company charter.
- List of founding shareholders (using Appendix I-7 of Circular 01/2021/TT-BKHĐT).
- Citizen ID cards/ID cards/Passports of the shareholders.
- Enterprise Registration Certificate or Business Registration Certificate for organizational shareholders (except for Ministries/Provincial People's Committees).
- Authenticated personal identification documents (Citizen ID card/ID card/Passport) of the legal representative.
- Decision on capital contribution for each shareholder that is an organization.
Dossier for Partnership:
- Application for enterprise registration.
- Partnership charter (with signatures of all partners).
- Document appointing an authorized representative for organizational members who contribute capital, along with a valid copy of their Citizen ID card/ID card/Passport.
- List of partnership members.
- Valid copies of Citizen ID cards/ID cards/Passports of the company members and the legal representative.
